These Terms and Conditions govern your use of our comprehensive human resources solutions, including HR Consulting, Talent Acquisition, Training & Development, Employee Relations, Compensation & Benefits, and HR Technology Implementation services. By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these terms, you must not use our services.

Both Caldera HR and the Client agree to maintain the confidentiality of all proprietary or confidential information exchanged during the provision of services. This obligation shall survive the termination of our engagement. We will use such information solely for the purpose of fulfilling our service obligations.

4. Intellectual Property

Unless otherwise agreed in a separate written agreement, all intellectual property rights in any materials, reports, advice, or other deliverables created by Caldera HR during the provision of services shall remain the property of Caldera HR. Clients are granted a non-exclusive, non-transferable license to use such materials for their internal business purposes.

5. Limitation of Liability

Caldera HR will exercise reasonable care and skill in performing the services. However, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; (c) any content obtained from the services; and (d) unauthorized access, use or alteration of your transmissions or content. Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the amount paid by you to Caldera HR for the services in question.

Payment terms, including fees, invoicing schedules, and acceptable payment methods, will be specified in the individual service agreement or proposal provided to each client. All fees are exclusive of applicable taxes, which will be added as required by law.

7. Termination

Either party may terminate the provision of services for material breach of these terms, provided written notice is given and an opportunity to cure the breach within a reasonable timeframe is provided. Specific termination clauses and notice periods may be detailed in the engagement agreement.

8. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

9. Changes to Terms

Caldera HR reserves the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms and Conditions on this page. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
